Faithfully Legal® Focused Legal Strategy Session
Limited-Scope Engagement Letter

Grace May LLC, doing business as Faithfully Legal, agrees to provide limited legal-education services to Client as follows:

  1. Scope of Services
    • One 45-minute Zoom call to discuss Client’s business goals and general legal considerations.
    • Verbal guidance on risk-spotting and next-step options. General legal strategy and education consultation may be provided to Clients located in any jurisdiction.
    • A brief written or voice-note summary of suggested resources or referrals.
    • State-specific legal services, including demand letters or other documentation, are available only to clients in PA and NY. If Client later requires jurisdiction-specific legal services outside PA and NY, a separate agreement with a duly licensed attorney will be necessary.

  2. Relationship of the Parties
    • Faithfully Legal is licensed to practice law in Pennsylvania and New York.
    • Except for the states of PA and NY in which an attorney-client relationship could be created if selected, this engagement is for legal strategy and education, not legal representation. No attorney–client relationship or privilege is created, and Client understands that communications may not be protected as confidential legal advice. In no event shall Grace May LLC's total liability under this Agreement exceed the fees actually paid by Client hereunder, and in no event shall Grace May LLC be liable for any indirect, incidental, consequential, or special damages.

  3. Fees and Payment
     Package Fee
    Focused Legal Strategy Session $497
    Legal Demand Letter or Documentation (PA/NJ/NY clients only)  +$750 per document
    Optional 7-Day Support + $500
  4. Client Responsibilities
    • Complete the intake form fully, truthfully, and accurately, and promptly update Faithfully Legal if any information changes before the session. Provide all relevant background materials, documents, and context at least 24 hours before the session so that Faithfully Legal can prepare effectively.
    • Disclose the names of any adverse or related parties so that a conflict-of-interest check can be completed.
    • Attend the scheduled call on time and be prepared to participate for the full session; sessions will not be extended to make up for late arrival.
    • Ensure a reliable internet connection, a functioning device, and a quiet, private environment appropriate for a confidential discussion.
    • Ask questions and communicate goals clearly so that guidance can be tailored to Client's needs.
    • Understand that guidance is based solely on the information Client provides, and that incomplete or inaccurate information may affect the quality of the guidance.
    • Take responsibility for all decisions and actions taken following the session, including whether to engage separate legal counsel where required.

  5. Confidentiality
    Faithfully Legal will keep Client information private in accordance with professional ethics. Except for any limited-scope representation described in Section 2 (for which the attorney-client privilege applies), privilege does not attach because this engagement is otherwise an advisory/strategy relationship. Client agrees to keep confidential any strategies, methodologies, or proprietary information shared by Faithfully Legal during or in connection with the session.

  6. No Ongoing Representation
    Services conclude upon delivery of the summary (and any optional follow-up access). Any additional work requires a new written agreement.

  7. Cancellation & Refund Policy
    All fees are earned upon receipt and are non-refundable, except that fees are refundable in the event Faithfully Legal identifies a conflict of interest that prevents it from providing the services. One reschedule is allowed with at least 48 hours' notice. Failure to attend the scheduled session without prior notice constitutes a no-show, and the session and fees will be forfeited.

  8. Governing Law & Dispute Resolution
    This Agreement is governed by Pennsylvania law. Notwithstanding the foregoing, any limited-scope representation described in Section 2 shall also be governed by the Rules of Professional Conduct of the state in which the represented Client is located (Pennsylvania or New York), and in the event of a conflict between those rules and this Agreement, the applicable Rules of Professional Conduct shall control as to that representation. Any dispute shall be resolved by binding online arbitration under the rules of the American Arbitration Association; venue is Montgomery County, PA. Each party bears its own costs. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction in Montgomery County, PA, and claims within the jurisdictional limits of small-claims court may be brought in such court.

  9. Entire Agreement
    This document contains the entire understanding between the parties and supersedes all prior discussions.

By acknowledging and confirming this agreement, Client acknowledges reading, understanding, and agreeing to all terms.
