Limited-Scope Engagement Letter

Grace May LLC agrees to provide limited legal-education services to Client as follows:

  1. Scope of Services
    • One 45-minute Zoom call to discuss Client’s business goals and general legal considerations.
    • Verbal, state-agnostic guidance on risk-spotting and next-step options.
    • A brief written or voice-note summary of suggested resources or referrals.
    • Other than PA or NY, no state-specific legal advice, drafting, filing, negotiation, or court representation is included. If Client later requires jurisdiction-specific legal services, a separate agreement with a duly licensed attorney will be necessary.
  2. Relationship of the Parties
    • Grace May LLC is licensed to practice law in Pennsylvania and New York.
    • Except for the states of PA and NY in which attorney-client relationship could be created if selected, this engagement is for legal strategy and education, not legal representation. No attorney–client relationship or privilege is created, and Client understands that communications may not be protected as confidential legal advice.
  3. Fees and Payment

    All fees are earned upon receipt and are refundable only under Section 7.
  4. Client Responsibilities
    • Complete the intake form truthfully.
    • Provide background materials at least 24 hours before the session.
    • Attend the call on time.
  5. Confidentiality
    Grace May LLC will keep Client information private in accordance with professional ethics, but privilege does not attach because this is an advisory/strategy relationship.
  6. No Ongoing Representation
    Services conclude upon delivery of the summary (and any optional follow-up access). Any additional work requires a new written agreement.
  7. Cancellation & Refund Policy
    Fees are non-refundable.  One reschedule is allowed with at least 48 hours’ notice.
  8. Governing Law & Dispute Resolution
    This Agreement is governed by Pennsylvania law.  Any dispute shall be resolved by binding online arbitration under the rules of the American Arbitration Association; venue is Montgomery County, PA.  Each party bears its own costs.
  9. Entire Agreement
    This document contains the entire understanding between the parties and supersedes all prior discussions.

By acknowledging and confirming this agreement, Client acknowledges reading, understanding, and agreeing to all terms.
